1.1 Contract

These Terms and Conditions govern your use of Zame, a platform operated by Exdale AG, Im Grund 21, 8424 Embrach, Switzerland.

By accessing, registering, or using Zame, you enter a legally binding agreement with Exdale AG ("we", "us", "our").

Your use of the platform is also subject to our Privacy Policy, which explains how we collect, use, store, and protect your data.

If you do not agree to these Terms, do not use the platform. You may terminate this Contract at any time by closing your account.

"Members" refers to registered users worldwide – including assistants, clients and suppliers – using the platform to connect and collaborate.

Unregistered users are "Visitors."

1.2 Compliance with Law

Exdale AG complies with the Swiss Federal Act on Data Protection (FADP) and, where applicable, the EU General Data Protection Regulation (GDPR).

1.3 Language and Jurisdiction

This agreement is written in English. If translations exist, the English version shall prevail.

This Contract is governed by the substantive laws of Switzerland, excluding conflict of law rules.

Exclusive jurisdiction is Zurich, Switzerland.

2.1 Platform Purpose

Zame is a neutral online platform that connects Members who wish to offer or request professional services.

Exdale AG provides the technical infrastructure only. We are not a service provider, employer, agent, or partner of any Member.

2.2 Intermediation Role and Financial Flow

All financial transactions, contracts, and payments take place directly and exclusively between Members.

Exdale AG does not receive, hold, process, or transfer funds on behalf of Members and is not involved in any monetary flow between them.

We do not supervise, control, or guarantee Member performance and assume no responsibility for the quality or execution of any service.

2.3 Hosting and Operations

Zame is operated and hosted on Exdale AG's own servers in Switzerland.

No third-party cloud providers are used for core hosting or data storage.

2.4 Eligibility

You must be at least 16 years old to use the platform and must not be restricted by law from doing so.

2.5 Account Security

Members are responsible for maintaining the confidentiality of their login credentials.

You agree to use a strong password and to notify Exdale AG immediately if you suspect unauthorized use of your account.

3.1 Content Ownership

You own the content you submit and grant Exdale AG a non-exclusive, worldwide license to use and display that content as needed to operate the platform.

You can delete your content at any time.

3.2 Responsible Use

You agree to use Zame in a professional manner, comply with laws, respect others' rights, and not engage in fraudulent, abusive, or unlawful activity.

Exdale AG may suspend or terminate accounts for misuse or legal violations.

4.1 Platform Only

Exdale AG is not a party to agreements between Members and does not mediate or guarantee any transaction.

We provide the platform "as is", without warranty of any kind.

4.2 No Liability for Member Transactions

Exdale AG is not liable for any act, omission, representation, or performance by Members or third parties.

All interactions and payments occur at your own risk.

4.3 Limitation of Liability

To the maximum extent permitted by law, Exdale AG's total liability for any claim shall not exceed the total amount you paid for our Services in the twelve (12) months before the event giving rise to the claim.

These limitations do not apply to liability required by Swiss law (such as for gross negligence or personal injury).

4.4 No Warranty

We do not warrant that the Services will be uninterrupted or error-free.

Use of the platform is at your own risk.

Both you and Exdale AG may terminate this Contract at any time with notice.

On termination, your right to use the Services ends, but sections on liability, intellectual property and governing law remain in effect.

If you are a consumer residing in the European Union, you may withdraw from this Contract within 14 days after registration without giving any reason.

To withdraw, email us at support@zame.global. Your account will then be closed.

All trademarks, logos, and content on Zame are the property of Exdale AG or its licensors.

You may not copy or reuse them without written permission.

We use cookies to enable essential features and improve user experience.

Your use of Zame constitutes consent to our Cookie and Privacy Policy.

You may adjust cookie settings at any time in your browser.

If any part of this Contract is found invalid or unenforceable, the remaining sections remain in force.

Failure to enforce any term is not a waiver of our rights.

You may not assign this Contract without our written consent.

Exdale AG may assign it to affiliates or successors.
